Software Terms of Service

These Terms of Service ("Terms") outline what you can expect when using our website and software services ("Services"). By accessing or using our Services, you are agreeing to these Terms.
If you have a signed Master Services Agreement (MSA), Order Form, or Business Associate Agreement (BAA) with Long Tail, those documents take precedence. These Terms apply in all other instances or where your agreement doesn’t cover something specific.
By using our Services, you acknowledge and accept the applicable terms—whether outlined in a signed agreement or in these Terms. If you’re not comfortable with that, we ask that you not use the Services.
1. Using Our Services
When using our Services, we grant you a limited, non-exclusive, non-transferable license to access and use them in accordance with these Terms. Please use the Services responsibly and within the bounds of the law. Some features of the Services may be subject to separate fees or subscriptions. These are detailed in your organization's Master Services Agreement or Order Form.
2. Eligibility
You must be at least 18 years old and authorized by your organization to use our services.
3. Your Account
You are responsible for safeguarding your login information and any activity under your account. If you suspect any unauthorized access, please notify us promptly.
Your organization is responsible for managing account access and ensuring its users follow applicable security protocols.
User accounts must be associated with individual, verifiable email addresses. The use of generic, shared, or group email addresses (e.g., “info@,” “admin@,” or “team@”) as the primary account email is not permitted.
4. User Conduct and Acceptable Use
To maintain a secure and effective environment, users must not:

Use the Services in ways that disrupt or negatively impact others;

Extract or harvest data without written permission;

Access restricted areas without authorization;

Misrepresent their identity or affiliation;

Use the Services for unlawful purposes, including fraud or unauthorized system access;

Attempt to breach or bypass security mechanisms, introduce malware, or conduct denial-of-service attacks;

Modify, reverse-engineer, decompile, or attempt to extract source code from our software;

Send spam or unsolicited communications;

Engage in harassment, abuse, discrimination, or threatening behavior;

Upload or share content that violates intellectual property rights.
Users are also responsible for complying with applicable laws and reporting any security incidents in a timely manner.
5. Subscription and Payment
Certain features may require an additional paid subscription, and your organization must purchase them to be available for your use.
Additional terms regarding pricing, billing, and refunds are outlined in the Master Subscription Agreement (MSA) and Order Form.
6. Intellectual Property
All software, content, and other materials provided through the Services are owned by Long Tail or our licensors. Use of the Services does not grant you ownership rights.
7. Third-Party Integrations
Our Services may integrate with third-party applications or tools. We are not responsible for the functionality, security, or availability of these third-party services. Use of these integrations is subject to their respective terms and privacy policies.
8. Data Privacy and Security
We value your privacy. Please refer to our Privacy Policy for details. HIPAA-related obligations are handled under a separate BAA where applicable.
We also process Usage Data in accordance with our privacy and security practices. Users should take reasonable measures to protect their data and accounts. Further information about our data handling and compliance responsibilities is included in the MSA and Security Addendums.
9. Monitoring and Enforcement
We may monitor use of the Services to ensure compliance with these Terms. Violations may result in warnings, suspension, or termination of access. We reserve the right to report unlawful activities to the appropriate authorities when necessary.
10. Termination
We may suspend or terminate access to the Services if these Terms are violated. We strive to act fairly and provide notice when appropriate.
11. Limitation of Liability
Our liability is limited to the maximum extent permitted by law. We are not responsible for indirect, incidental, or consequential damages resulting from your use of the Services.
12. Changes to These Terms
We may revise these Terms periodically. If changes are made, we will notify you, and your continued use of the Services signifies acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware. Any legal matters will be handled within that jurisdiction.
